JOB DESCRIPTION

Contractual Role

  1. Position Legal Trainee
  2. Duration 6 months
  3. Location: Santacruz (East)
  4. Experience: Minimum 3-5 years PQE
  5. Qualification: An LL.B/LL.M or equivalent professional qualification or post-graduate degree or post graduate diploma (minimum two years in duration) in finance and law, from a university or an institution recognized by the Central Government or any State Government or a recognized foreign university or institution which is recognized/accredited by Authority or a regulator in India or Foreign Jurisdiction.
  6. Reporting to Compliance Officer
  7. Key skills Experience in handling compliance and legal matters in AIF/PMS and Private Equity Deals and Transactions
  8. Monthly Stipend: Depends on the candidature

  1. Roles and Responsibilities Good understanding of regulations with respect to Alternative Investment Fund, Portfolio Management Services, Companies Act, Income Tax Act, FEMA.
  2. Draft, review, and negotiate transaction-related documents like Share subscription Agreement, Shareholder's Agreement, Share Purchase Agreements etc.
  3. Candidate will provide critical legal support in structuring, negotiating, and executing complex transactions.
  4. Conduct thorough legal due diligence, identifying risks and providing solutions to ensure successful transactions
  5. Work closely with cross-functional teams, including finance, tax, and compliance, to deliver comprehensive solutions and provide ongoing legal support for portfolio companies, addressing governance and contractual issues
  6. Reporting and filling quarterly, monthly and yearly fillings to RBI, FATCA CRS, SEBI, PFRDA, BASL etc.
  7. Develop and communicate clear and actionable deliverables, or activities to be completed to relevant teams for smooth audit period.
  8. Drafting, vetting and negotiation of various agreements and fund related documents on behalf of Abakkus like PPM, Disclosure Document, Distributorship Agreements etc.
  9. Exceptional communicational and negotiation skills.
