Job Description

Role : Senior Manager Legal M&A

Location : Mumbai

Purpose - Why does this role exist

To provide legal advice in relation to all financing / loan and M&A documentation entered into by the Company

Key Result Areas (Key Performance Indicators)

Transaction Support: Manage and support M&A transactions from inception to completion, including due diligence, drafting and negotiating transaction documents, and coordinating closing processes.

General financing transactions: Review of standard loan and security documents for plain vanilla loan transactions.

Legal Research and Analysis: Conduct thorough legal research and analysis to support M&A transactions, providing business teams with strategic insights and recommendations.

Client Engagement: Serve as a key point of contact for business teams, providing exceptional legal counsel and maintaining strong client relationships.

External Counsel Collaboration: Collaborate with external counsels, including tax, antitrust, and intellectual property, to ensure comprehensive legal advice and seamless transaction execution.

Document Preparation: Draft and review various legal documents, including term sheets, merger agreements, and disclosure schedules, ensuring compliance with applicable laws and regulations.

Mentorship: Provide guidance and mentorship to junior attorneys and interns, fostering their professional development and growth within the firm.

Legal &Market Awareness: Stay informed about latest developments in FDI regulations, FEMA regulations, ODI Regulations, industry trends, market conditions, and regulatory changes impacting M&A activities, and share insights with business team.

Critical Tasks

  • Reviewing and negotiating agreements and providing inputs and advice to the management.
  • Staying up-to-date on developments and trends in the industry, track upcoming laws and regulations.
  • Providing timely legal advice to business functions, engaging and instructing external counsels.
  • Management of external local and foreign counsels

Decision making authority (Decisions expected)

Should have the ability to run transactions on his/her own.

Educational Background and Work Experience

  • LL.B. from a reputed law school.
  • 5-7 years work experience. Law firm background is preferable.

Strong understanding of corporate governance and regulatory compliance.

Ability to work both independently and collaboratively in a team environment.
