We're looking for a remote Senior Legal Counsel to drive our commercial contracting process and serve as a key legal advisor in our rapidly growing organization.

In this role, you'll manage complex B2B agreements with Fortune 500 clients, build scalable legal operations processes, and tackle diverse legal challenges across our global organization. You'll balance legal issues with company values and strategic objectives while working closely with our General Counsel.

Our IDEAL CANDIDATE brings 5-7 years of experience split between a law firm and in-house technology company role. You excel at commercial contracting, tech transactions, and general corporate law, with proven ability to draft and negotiate complex B2B agreements, particularly in software licensing and SaaS. Beyond your strong legal research and practical problem-solving skills, you're intellectually curious and energized by diving into novel legal challenges from cross-border employment issues to emerging regulatory questions. You thrive in fast-paced environments, can explain complex legal concepts clearly to non-lawyers, and take ownership of diverse projects with minimal oversight. Most importantly, you're ready to grow into a leadership role, sharing our commitment to excellence while helping build a world-class legal function that enables our General Counsel to focus on strategic initiatives.

Your performance will be measured by your ability to progress from initial review to independent decision-making on complex matters within 6 months, build collaborative relationships with both internal teams and clients, and proactively improve legal processes while maintaining our high standards for accuracy.

You'll join our 4-person Legal, IT & Compliance team, consisting of the General Counsel, a mid-level lawyer, and a senior IT security professional. Broadly, you'll be part of our Operations team, regularly interacting with 20+ colleagues across the Sales, Finance, Operations, HR, and IT & Security teams. This position reports directly to the General Counsel.

You'll be doing things like:

Commercial Contracting (50%):

• Enterprise Agreements: negotiating complex contracts with Fortune 500 banks; handling 80+ page agreements with sub-policies; structuring software licensing deals
• Product & Services: drafting agreements for software products and professional services; managing security audit engagements; implementing IP licensing strategy
• Sales Support: developing standard form contracts; partnering with sales team; building scalable templates
• Vendor Management: negotiating tech vendor agreements; managing service provider relationships; supporting procurement process

Legal Operations & Infrastructure (20%):

• Process Design: implementing contract automation; building efficient workflows; streamlining documentation
• Project Management: tracking deadlines; coordinating stakeholders; maintaining knowledge base
• Compliance Support: providing corporate information; handling due diligence requests; ensuring market trend alignment
• Risk Management: balancing commercial upside against legal, financial, operational, and reputational risks

Strategic Advisory (30%):

• Corporate Governance: managing five global entities; coordinating board meetings; maintaining records
• Employment & Equity: structuring international hiring; designing equity compensation; explaining option plans
• Financing: supporting fundraising; managing investor agreements; handling securities compliance
• Acquisitions: supporting M&A due diligence; advising on deal structure; managing integration
• Privacy & Compliance: developing policies; providing risk-weighted recommendations; ensuring regulatory alignment

• 5-7+ years of legal experience (preferably upper band), combining law firm and in-house technology company experience, in roles like Product Counsel, Commercial Counsel, IP Lawyer or Corporate Lawyer
• Deep expertise in B2B commercial contracting: software licensing, SaaS/on-premises agreements, professional services
• Strong legal research and analytical skills: ability to triage issues, ask right questions, and develop practical solutions
• Excellent stakeholder management: ability to explain complex legal concepts to non-legal audiences
• Independent and proactive mindset: proven ability to take ownership with minimal direction
• Law degree and license to practice in at least one jurisdiction required

Bonus if you also have:

• Experience in high-growth tech companies during rapid scaling
• Understanding of blockchain/Web3 technologies
• Experience with legal automation and AI tools
• International corporate law exposure
• Familiarity with: Slack, Google Workspace, Notion, HubSpot, ChatGPT, Spellbook

Working Hours: 4 hours of required overlap between 8AM-12PM ET, with the remaining 4 daily hours asynchronous

Compensation: USD$2,169-3,389 (128K-200K PHP), depending on experience.
