Skills And Competencies
- 7-10+ years of legal experience, including at least 5 years in drafting technology, services, and commercial contracts.
- Proficiency in spoken and written English and Hindi is essential, with strong drafting and negotiation skills in both languages for a diverse range of technology and procurement agreements.
- Sound business judgment with a flexible approach, understanding Moody's legal and regulatory risks.
- Interest in GenAI, legal operations, legal tech initiatives, and innovations, as well as the capability to implement them.
- Strong administration, and project management expertise with ability to summarize and communicate legal concepts clearly and effectively.
- Positive, execution-oriented approach with exceptional drafting skills and meticulous attention to detail.
- Proficient in managing multiple deals simultaneously, efficiently prioritizing workflow, and successfully contributing to cross-functional teams
Education
- Graduate of an accredited law school and strong academic credentials, licensed and in good standing.
- Dual qualification in UK or USA and/or large law firm experience a plus
Responsibilities
- Negotiating, drafting, and counseling business clients regarding various types of technology agreements, including software (and SaaS), data license, and professional services agreements and a variety of other general commercial contracts
- Developing business relationships with internal business leaders and other stakeholders, implementing strategic best practices, limiting Moody's supply chain risk and exposure, and advising internal business clients on relevant legal contexts, issues and risks, complex agreement structures, approval processes, and company policies and procedures
- Working with other teams in Moody's Legal Department, providing IP related legal advice and support for the day-to-day operations of the company, including advising on IP ownership and licensing, data usage rights, open source, fair use and social media
- Reviewing transaction documents, and preparing intra-company service agreements
- Help to develop and maintain contract templates along with usage guidance notes in conjunction with other legal team members
- Providing pre-litigation legal support regarding commercial contract disputes, including arising from vendor audits, conducting investigations as necessary
- Assisting with other projects and matters in areas which may include privacy, information security, compliance, contract management, internal investigations, and other legal and regulatory issues
- Manage and streamline internal processes
- Display initiative and creativity in addressing challenges while accomplishing business objectives.
- Contribute to shaping the culture and practices of the Legal department
About The Team
The Senior Counsel will be a part of the Corporate Legal Services Team of Moody's Legal Department. The Senior Counsel position works primarily with business clients within Moody's ratings, financial intelligence, data analytics and software and services businesses, supporting commercial procurement contracts and projects for the Company.
