Job Description for API Holdings Limited (API) - Legal (General Corporate) role

Brief Overview Of The Role
We are looking to hire an experienced corporate lawyer who will be handling all the corporate legal
matters of the API Holdings group and will be expected to work with a high degree of autonomy on
complex legal matters.
Key Responsibilities
Advising on all aspects of corporate / commercial legal matters of the organisation for M&A,
equity funding, debt financing, joint ventures, corporate restructurings and other commercial
agreements.
End to end legal support for fund raising and M&A activities of the group including drafting,
vetting and negotiation of wide variety of corporate / commercial contracts including
shareholders agreements, share subscription agreements, share purchase agreements, business
transfer agreements, asset transfer agreements, assisting in due diligence exercise, coordination
with other functions, drafting and collating responses to investor queries in a timely manner.
Reviewing and drafting documents relating to debt financing activities of the group,
coordinating and negotiating with lenders and closing the documentation in a time bound
manner.
Carrying out discussions with external counsels engaged for transactions / legal opinions,
negotiating with counterparty's legal team and carrying out discussions with the management
on transactions and legal positions to assess and explain the legal risks involved.
Ensuring legal compliance with the contractual terms and obligations of the group; and
maintaining necessary compliance trackers.
Being adept with all corporate laws including Companies Act, FEMA regulations and directions,
SEBI regulations and advisories.
Being up-to-date with legal framework developments and conducting regular knowledge sharing
sessions for the team.
and promote consistency of approach in legal matters between internal stakeholders.
Leading, managing and supervising the legal repository system.
Other Requirements
PQE of 4-5 years with at least 2+ years of experience working with a law firm in a general
corporate or banking / finance role.
Hands on at work and can independently manage projects.
Has extensively worked on of working on variety of corporate legal agreements including M&A,
equity funding and debt financing agreements.
Strong team player and willing to take up responsibilities of team members if required.
Excellent legal drafting and interpretation skills.
Sound interpersonal ad communication skills.
