Position Summary:
Service Lee Technologies Private Limited (Company), operating under the brand name Servify, is looking to hire a commercial and technology transactions attorney for the role of Legal Associate on a secondment basis for a period of 6 (six) months on secondment basis to support its global legal function. The selected candidate will play a pivotal role in independently managing various legal aspects, including commercial contracts, global employment matters, global real estate agreements, ESG, India related licenses and registrations, and litigations. The ideal candidate should have a strong background in corporate law, excellent communication and organizational skills, and the ability to handle complex legal matters with minimal supervision. The candidate will work closely with the Head Legal and Secretarial, the management, and the business teams.
Key roles and responsibilities:
- Act as a strategic member of the legal team, providing support to the Company's Indian business operations, HR, finance, and admin teams.
- Draft, review, and negotiate various commercial contracts, including NDAs, MSAs, SOWs, trade-in and reseller agreements, subvention agreements, loan agreements (including intra-group loan agreements), marketing agreements, real estate contracts, MOUs.
- Assist the strategy and HR teams in ESG audits and compliances.
- Standardize contract templates to streamline the contract management process, aligning them with global agreements.
- Prepare warning letters, termination letters, and show-cause letters for the HR department, ensuring compliance with legal requirements and company policies.
- Manage litigation and dispute resolution matters, including, drafting/reviewing commercial and consumer litigation documents such as complaints, responses, motions, and settlement agreements. Liaison with external counsels to represent the company in legal proceedings and hearings.
- Collaborate with various departments of the Company, such as India Business, Sales, HR, Finance, and Marketing to offer legal support and advice on business initiatives and projects.
- Provide proactive counsel and strategic guidance to internal stakeholders on legal issues, including electronic signatures, stamping, financial regulation, and potential legal implications of significant business matters.
- Coordinate with external consultants across jurisdictions for specialized advice on business transactions, litigation, and local laws and regulations.
- Advise on day-to-day legal issues and alert business teams to legal and regulatory risks, offering strategic legal guidance.
- Monitor legislative changes that may affect the Company and its affiliates and communicate updates to the team and management promptly.
- Undertake additional projects and assignments as required, collaborating with different departments.
Qualification, Skills, Knowledge, and Experience:
- Bachelor's degree in law from a reputed institution. Master's degree will be an added advantage.
- At least 2 years of relevant experience working in a law firm and/or in-house legal department.
- Excellent knowledge and understanding of corporate laws and procedures.
- Excellent drafting skills as well as research, analytical, and problem-solving skills.
- Excellent problem-solving, advisory, negotiation and drafting skills.
- Demonstrated ability to create legal defensive or proactive strategies.
- High degree of professional ethics and integrity.
- Sound judgment and ability to analyze situations and information.
- Must possess excellent interpersonal, presentation, communication (verbal and written).
