We are seeking an experienced Company Secretary to lead the Secretarial and Corporate Governance matters for Sula Vineyards Ltd and its subsidiaries. This role is crucial for ensuring regulatory compliance and supporting future growth plans. The Company Secretary will manage hands-on tasks, provide strategic guidance to the CXO team, and act as the primary liaison with shareholders and the Board of Directors.
The role includes but will not be limited to the following:
- Secretarial compliances relating to listed company, including filing of necessary documents with MCA, SEBI, Stock Exchanges and any other statutory body
- Incorporation of Companies and LLPs, conversion of Companies.
- Managing Shareholders records
- An issue, allotment of securities including preferential allotment, transfer, and transmission of securities.
- Handling Statutory Compliances, Corporate Governance related issues.
- Analysis and interpretations of various critical provisions of Companies Act and other corporate laws.
- Advising the Board and top Management on the financial transactions and on their impact, considering the Companies Act-related provisions.
- Drafting of Notice, Directors Report, Corporate Governance and Management Discussion Analysis Report, including various statements to be filed with SEBI, etc.
- Managing Board Meetings, AGM, EGMs and compliance related thereto.
- Related Party transactions analysis and ensuring compliances related thereto.
- To act as Custodian of Statutory records and other important documents
- Dematerialization / Rematerialisation of securities.
- Creation, modification, and satisfaction of Charges.
- Compounding under Companies Act, 1956.
- Preparing and updating various statutory records/registers under the Companies Act.
- E-filing of various forms including XBRL filing with MCA.
- Filing petition(s) to National Company Law Tribunal (NCLT) on Company Law matters.
- Thorough understanding of the provisions of Companies Act 2013 and LODR requirements
Must Have Requirement:
- Qualified Company Secretary with 10-12 years of relevant experience in listed companies, preferably in FMCG, Consumer Goods, Hospitality, F&B, or Manufacturing sectors.
- A legal degree and/or experience with Mergers & Acquisitions is a plus.
- Strong team management skills with the ability to coach, mentor, and develop junior team members.
- Excellent verbal and written communication skills, along with strong technical capabilities.
