About The Team
The Transaction Management team is a business unit within the Global Banking & Markets, primarily working with the Trading and Investment Banking groups across EMEA & APAC. The team is a multi-faceted diligence and origination platform specializing in whole loan acquisition, sales, securitizations, and financing opportunities. The TM team has product expertise across Mortgage Structured Products (i.e. Private Equity Capital Call, Structured Products, Mortgages, Consumer Loans, Real Estate/Warehouse Financing).
TM is seeking an Analyst to assist with the Transaction Management function in Bengaluru. The Analyst will be helping with due diligence (at both the deal and asset levels) for the acquisitions, financing and sales/securitizations of loan ensuring completion of transaction closing requirements, and adherence to departmental, divisional and firmwide policies.
Additional responsibilities include assisting with the scope of due diligence to be performed; negotiating, selecting, and managing third-party vendor partners who perform due diligence; supporting the due diligence processes all while working with the head of the EMEA /APAC function in identifying issues and the resulting impacts.
Responsibilities
- Contribute to deal execution, deal closing and deal project management.
- Perform primary liaison responsibilities between counterparties, Trading Desk(s), Internal teams (i.e., Credit, Legal, Compliance, Valuation, Collateral management) and Third-party Vendors/Partners.
- Lead workstreams internally related to the closing of transactions such as KYC, Trade booking, Posting/Approval management from key teams, Vendor onboarding.
- Collect, Archive and Update Scope of Work/Quotes database showing relevant due diligence scopes as executed on previous trades; engage/monitor third-party vendor partners.
- Develop and Manage relationships with Third party vendors, ensure accurate and timely invoicing and its processing.
- Liaise with legal counsel on NDAs, Engagement Letters, PoAs, syndication letters and all other legal docs.
- Review, Understand and Act on deal level documents.
- Assist with Securitisations AUPs, Strats tie-out, applicable checklist(s) and deal expenses.
- Support growth of non-financial DDs workstreams such as valuations, consumer DD and legal DD.
- May assist with performing due diligence on prospective new sellers/counterparties/loan servicers/(on-boarding) third-party vendor partners; maintain KPIs on third-party vendor partners
- Actively participate in system/technology related projects (e.g., assist IT/System Administration team with design, analysis, testing, and implementation aspects of enhancements made to the Due Diligence System).
Qualifications
- Bachelor's degree in finance, economics or a related field
- Minimum 2+ years of experience in handling due diligence activites for deals in the space of Private Equity capital call , NAV financing, Securitization
- Possess excellent time management/organizational skills with a keen eye toward attention to detail; must have ability to handle a high-stress, fast-paced environment, and aggressive deadlines with minimum supervision; successfully meet established project requirements and deadlines; must have ability to work independently and multi-task
- Strong ability to analyze and interpret legal and compliance related materials
- Independent thinker who will be proactive, vocal and professional in dealings with internal/external clients, third-party vendor partners, internal teams, and senior managers; be able to work at the detail level while managing account relationships
- Outstanding initiative and excellent communication/presentation skills (both verbal and written)
- Advanced proficiencies in MS Excel, Word and Outlook
- Capable of recommending modifications to existing policies/procedures to control risk and improve performance/efficiencies
- Must have ability to travel and work extended hours (and occasional weekends) as needed
