The Role
An opportunity has arisen for General Manager Legal & Company Secretary in Gurgaon, India. The incumbent will play a key leadership role as Legal head to set direction for the department, create a strategic legal framework in order to support the growth objectives of the organization and all its locations, coach and develop colleagues and identify projects and opportunities for improvement.
Your Responsibilities
Administrative Reporting to the Managing Director, India and functional reporting to Senior Legal Counsel APAC, Singapore the main duties of this role will include:
- Manage and lead the Legal and Company Secretarial function at India location and coordination with international locations.
- To create a strategic legal framework in order to support the growth objectives of the organization and all its locations
- Providing Advisory & Litigation support to all businesses on various issues including
- To handle the legal aspect of any relevant M&A or corporate re-structuring activities
- Handling various businesses relationships in terms of negotiating, structuring, drafting, reviewing & finalizing various agreements, MOUs, Letter of Intents, from time to time.
- Ensuring Issuance of notices/reply to the notices, vetting internal group company agreements, affidavits, letters, Company Resolution, General/specific General Power of Attorney and applications to Government Departments and Regulatory bodies
- Counselling & educating the relevant business heads on all laws relevant to the Indian businesses
- Advice and support on legal matters related to safeguarding of business interests and assets (including intellectual property rights)
- Representing the business in possible disputes (litigation and other resolution platforms) that may arise
- Analysis and compilation of litigation data to meet external reporting requirements.
- Develop and execute on Legal strategies
- Compile and distribute accurate market information related to new business this with other members of the group and the wider ADM divisions
- Key role as advisor for the Managing Director ADM India and participation in the Indian Leadership Team
Your Profile
The Successful Candidate Will Possess The Following
- Qualified Company Secretary and LLB or LLM from reputable law school (overseas study experience will be a plus)
- 12+ years of experience in international or leading domestic law firms and MNCs with at least 3+ years in country head role in an MNC .
- In-house experience with MNCs in similar industry would be preferred.
- Having business sense and capability to develop and maintain a good relationship with internal and external clients, and drive desirable outcomes through influence.
- Strong analytical abilities, initiative and problem-solving skills necessary to adapt to a rapidly changing multi-location environment.
- Effective oral and written communication skills as well as ability to engage with various levels of office, and plant management.
- Strong leadership and organizational ability and be able to prioritize matters efficiently.
- Proficient using Microsoft Office (Excel, Word, Access).
- Ensure timely goal setting, monitoring, review of performance parameters and feedback to team members.
- Fluency in English is a pre-requisite - the ADM working language is English.
