Job Title: Executive - Company Secretary and Legal
Experience: 5-7 years
Job Description:
1. Compliance and Governance:
- Oversee compliance with all relevant laws, regulations, and corporate governance principles.
- Ensure timely filings of statutory returns, disclosures, and other regulatory requirements.
- Maintain registers and records as required by law and ensure they are accurate and up-to-date.
- Provide guidance to the board on corporate governance matters and ensure adherence to best practices.
2. Board Support:
- Organize and facilitate board and committee meetings, including preparing agendas, collating board packs, and drafting minutes.
- Assist in the induction and training of board members, ensuring they understand their roles, responsibilities, and fiduciary duties.
- Act as a key liaison between the board, management, and external stakeholders.
3. Corporate Secretarial Duties:
- Manage the company's corporate secretarial functions, including maintaining the register of shareholders, managing share transfers, and issuing share certificates.
- Draft and file necessary documentation for changes to the company's structure, such as alterations to the articles of association or capital restructuring.
- Coordinate the organization of general meetings, including drafting notices, preparing proxy forms, and overseeing voting procedures.
4. Risk Management and Compliance:
- Identify and assess legal and regulatory risks that may impact the company and develop strategies to mitigate them.
- Implement and monitor compliance programs to ensure adherence to internal policies and external regulations.
- Conduct periodic compliance reviews and audits to identify areas for improvement and ensure corrective actions are taken.
5. Corporate Strategy and Advisory:
- Provide strategic advice to the board and senior management on corporate governance issues, regulatory matters, and corporate transactions.
- Assist in the development and implementation of corporate policies and procedures to enhance efficiency and transparency.
- Stay abreast of changes in relevant laws, regulations, and industry trends and communicate their potential impact to the organization.
6. Stakeholder Management:
- Build and maintain relationships with regulatory authorities, legal advisors, auditors, and other external stakeholders.
- Serve as the primary point of contact for shareholders queries, ensuring timely and accurate communication.
7. Leadership and Team Management:
- Lead and mentor a team of corporate secretarial professionals, providing guidance and support to ensure their professional development.
- Foster a culture of accountability, integrity, and excellence within the corporate secretarial function.
Requirements:
- Bachelor's degree in law, business administration, or a related field. Additional professional qualifications such as ICSA (Institute of Chartered Secretaries and Administrators) or equivalent preferred.
- Extensive experience in corporate secretarial practice, preferably in a listed company or professional services firm.
- In-depth knowledge of company law, corporate governance principles, and regulatory requirements.
- Strong communication, interpersonal, and leadership skills.
- Ability to work under pressure and manage multiple priorities effectively.
- High level of integrity, professionalism, and attention to detail.
