Job Overview: A compliance officer is a legal or management expert who resolves companies compliance-related issues and assists them in fulfilling laws and regulations.
Job Description:
- Handle all secretarial and legal matters relating to Rights Shares and Preferential Allotment.
- Dematerialization of Securities
- Co-ordination with Government bodies
- Due Diligence of the company including legal, secretarial, tax & finance.
- Preparation of Annual Report, CSR Report for Annual Filing.
- Fillings of Various Forms, Annual Return and Annual Accounts to ROC.
- Conducting the Board meetings, EGM and AGM and other committee meetings physical as well as through Video Conferencing.
- Drafting of Service Agreements, Business Agreements, Escrow Agreement, NDAs etc.
- Maintenance of Statutory Registers under Companies Act, 2013.
- Preparation of documents and e- forms relating to change of Registered Office, Change of name of the Company, appointment and resignation of Directors/ KMP.
- Issue/ allotment of Equity and Preference Shares of the Company.
- Alteration of Memorandum of Association and Articles of Association as per Companies Act, 2013.
- Drafting of replies and responses for the notices from statutory authorities.
- Handling Internal Audit and Secretarial Audits of the Company.
- Preparation and submission of the Statement of Foreign Liabilities and Assets with Reserve Bank of India.
- Submission of FC-GPR and FC-TRS with Reserve Bank of India.
- Preparation of responses from s by RBI under filing of Form FCGPR.
- Assistance to intra departments of the Company.
- Management of ESOP Compliance.
- Other assignments on occasional basis.
Skill Set:
- Good communication skills required while interacting with clients, auditors and internal employee
- Able to demonstrate the Technical functions
- Candidates shall be a Member of Institute of Company Secretaries (CS)of India with additional qualification of LLB would be preferred
- Smart and good understanding level, strong thinking
