Job Description
Governance:
- Conducting Board Meetings, Committee Meetings, Drafting of Minutes
- Compliance with Companies Act 2013, Secretarial Standards and FEMA such as filing of FLA Return, FC-TRS etc.
- Develop and maintain governance policies such as CSR Policy etc
- Compliance with regular filings such as MSME, DPT-3, DIR-3 KYC and event based filings such as CHG-1/ CHG-4, DIR-12, MGT-14, Annual Forms (AOC 4 XBRL, MGT-7) etc.
- Coordinate with Investors and Other Stakeholders for Board Meetings, General Meetings
- Coordinate with Internal Stakeholders for regulatory reportings
- Maintenance of Statutory Registers and Records
Investor Relations:
- Interpretation and Review of Shareholders Agreement
- Drafting and Maintaining Deed of Adherence and other share transfer related compliances as per Companies Act, 2013 and Shareholders Agreement
- KYC checks (World Check) of Onboarding of any shareholders/ nominee director
- End-to-End Funding Rounds Management Legal & Secretarial Due Diligence, Review of Transaction Documents, Drafting and Review of Disclosure Letters, Conditions Precedent and Conditions Subsequent documents
- Implementation of Transaction Documents
- Drafting of Emails/ Letters for the investors for Reserved Matters
Contracts Management
- Drafting, vetting and negotiation of Customer Contracts, Vendor Contracts, Lease Deeds/ Rent Agreements, Driver Service Contracts
- Highlighting the potential risks areas/ clauses from customer contracts to the management
- Coordinating with internal/ external stakeholders for effective signing of the contracts
Litigation Management
- Coordinating with and onboarding external counsels for litigation matters under MACT, Employee Compensation, Payment of Wages etc.
- Review of written statements drafted by external counsels, providing inputs to external counsels on any of the ongoing/ new matters
- Visiting Courts/ Tribunals for representing the Company as an Authorised Representative
Compliance Management
- Act as SPOC for the consultant onboarded for Labour Law Compliances
- Coordinate with consultant for drafting and filing of replies to any notice received from the departments such as EPFO/ ESI/ PT etc
- Filing of Professional Tax for Maharashtra Location and regularly monitoring for
- Ensure regular (monthly/ quarterly/ half early/ annual) filings as may be required to be submitted to the authorities
- Collating and drafting of necessary documents for applying for any new registrations under S&E Act, PT, Trade License, PF and/ or ESI Sub-codes
Other Event Based Compliances/ Work
- Drafting of Authority Letters/ Power of Attorneys for vehicle release matters from courts
- POSH Compliances such as filing of Annual Return with regional authorities
- License Applications Renewal of FSSAI Central License/ state license, filing of fresh licenses for different locations
- Handling Customer Audits
- Ensuring timely renewals of insurance policies of the Company such as D&O, Marine, CGLI, CLL and Workmen Compensation Policy
- Event based registrations as per the business requirements
