Job Description

Position Title: Company Secretary

Department: Real Estate

Location: Hyderabad

Reports To: Director & MD

Job Summary: The Company Secretary for Real Estate is responsible for ensuring the company complies with standard financial and legal practice and maintains high standards of corporate governance. This role involves overseeing the company's real estate transactions, managing compliance, and providing advice to the board of directors regarding legal, governance, and regulatory matters.

Key Responsibilities:

Corporate Governance:

  • Ensure the company complies with its articles of association and the statutory and regulatory requirements.
  • Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
  • Take minutes, draft resolutions, and lodge required forms and annual returns with appropriate regulatory bodies.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.

Legal and Regulatory Compliance:

  • Ensure compliance with real estate laws, regulations, and guidelines.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Advise on and implement legal and regulatory changes affecting the real estate sector.
  • Coordinate with external legal counsel for specialized legal issues and transactions.

Real Estate Transactions:

  • Oversee and manage real estate transactions, including acquisitions, disposals, leases, and development projects.
  • Prepare, review, and negotiate contracts, leases, and other legal documents.
  • Ensure proper due diligence is conducted for all real estate transactions.
  • Maintain records of property titles, deeds, and other critical documents.

Board and Committee Support:

  • Provide comprehensive legal and administrative support to the board and its committees.
  • Ensure effective communication between the board, its committees, and external stakeholders.
  • Facilitate board inductions and training on governance and compliance matters.

Risk Management:

  • Identify and evaluate risks associated with the company's real estate activities.
  • Develop and implement strategies to mitigate identified risks.
  • Ensure the company's risk management policies and procedures are up to date and effective.

Stakeholder Communication:

  • Act as a point of contact and build relationships with stakeholders, including shareholders, regulatory bodies, and external advisors.
  • Ensure the company's statutory requirements and other information are communicated effectively to stakeholders.
