- Ensure strict adherence to all Indian corporate laws and regulations, specifically
Companies Act, 2013 as well as legal requirements pertinent to foreign investors
stressing on FEMA compliances. - Navigate startup fundraising procedures, including handling shareholder agreements and subscription agreements.
- Manage different funding instruments like Convertible notes and CCPS, ensuring
compliance with FEMA regulations. - Guide the company through various series funding rounds, including due diligence processes and secondary sale transactions.
- Address investor inquiries and concerns promptly, fostering strong relationships.
- Collaborate with finance and legal teams to support statutory and secretarial audits.
- Maintain and update statutory books and records in alignment with Companies Act, 2013
- Oversee all secretarial matters and compliance activities for the company,
subsidiaries, and stakeholders. - Work with external legal counsel to resolve legal challenges across diverse
frameworks. - Conduct training sessions on international corporate governance practices for directors and staff.
Requirements
Membership with the Institute of Company Secretaries of India (ICSI).
Proven experience of 4-8 years in a similar role, preferably within a multinational corporation or startup environment.
Excellent communication and interpersonal skills, with the ability to effectively engage with stakeholders at all levels
Detail-oriented with exceptional organizational and time management abilities.
Proficiency in MS Office
