As a Company Secretary (CS) in our firm, you will play a crucial role in providing Secretarial, Corporate Law and Compliance related professional services to our clients. Your expertise will be utilized in ensuring compliance with various regulatory requirements, drafting documents, and providing expert guidance on corporate governance and regulatory matters. You will work with clients from diverse industries, offering tailored solutions to meet their specific needs while maintaining the highest ethical standards. You will be directly reporting to the partner.
1) Serve as the primary point of contact and advisor to clients on secretarial, company law, and RBI compliance matters.
2) Conduct thorough assessments of clients compliance needs and develop tailored compliance strategies and action plans.
3) Ensure timely and accurate filing of necessary documents, returns, and forms with regulatory authorities, including the Registrar of Companies (ROC) and Reserve Bank of India (RBI).
4) Assist clients in the incorporation, registration, and dissolution of companies, LLPs, partnerships, and other legal entities, ensuring compliance with applicable laws and regulations.
5) Prepare and maintain statutory registers, records, and books of clients, including the Register of Members, Register of Directors, and Secretarial Records.
6) Assist clients in the registrations under various applicable laws and regulations, like MSME, IEC, etc.
7) Monitor changes in company law, RBI regulations, and other relevant legislation and communicate implications to clients.
8) Provide expert guidance and support to clients on corporate governance practices, compliance obligations, and regulatory changes.
9) Review and draft legal documents, contracts, agreements, and corporate policies for clients, ensuring compliance with relevant laws and regulations.
10) Liaise with external legal counsel, other professionals, and regulatory authorities on behalf of clients, as necessary.
11) Maintain confidentiality of client information and ensure compliance with data protection and confidentiality policies.

Qualified Company Secretary (ACS) with membership of the Institute of Company Secretaries of India (ICSI).
Minimum 2 (Two) years of experience working as a Company Secretary, preferably in a CA firm or consulting environment.
Knowledge of company law, corporate governance principles, and RBI regulations.
Excellent understanding of relevant laws, regulations, and guidelines governing corporate entities and foreign exchange transactions in India.
Experience in handling secretarial, company law, and RBI compliance for clients across various industries.
Exceptional interpersonal and communication skills, with the ability to build rapport with clients and stakeholders.
Strong analytical, leadership and problem-solving abilities, with attention to detail and accuracy.
Proficiency in MS Office Suite and familiarity with corporate governance software and tools.
Ability to work independently, prioritize tasks, and meet deadlines in a fast-paced environment.
Integrity, professionalism, and commitment to upholding ethical standards and best practices in corporate governance and compliance and maintaining client confidentiality.
Ability to work effectively in a team environment and manage multiple priorities.

Proficiency in MS Office Suite and familiarity with Accounting and Taxation software and tools.
