Job Description

Location: Andheri East, Mumbai

Designation: Assistant Manager - Company Secretary

We are currently seeking a highly skilled Company Secretariat to join one of our clients.

Role Overview:

As a Company Secretary, you will play a crucial role in ensuring the company's compliance with all statutory and regulatory requirements, managing corporate governance, and liaising with regulatory authorities and stakeholders. This position requires a deep understanding of the Companies Act, 2013, SEBI Regulations, and other relevant laws and regulations, alongside a proven track record of managing compliance for a listed entity with international operations.

Responsibilities:

  • Compliance Management: Ensure adherence to all statutory norms including Company Law, SEBI Regulations, RBI regulations, FEMA, listing requirements, and applicable secretarial standards. This includes interpreting and analyzing legal provisions to maintain compliance and initiate appropriate actions for changes in legislation.
  • Corporate Governance: Oversee all aspects of corporate governance, including the preparation and management of board and committee meetings, drafting agendas, resolutions, and minutes, and ensuring meetings comply with statutory legislation and organizational procedures.
  • Statutory Liaison and Reporting: Act as the primary liaison with NSE/BSE/NSDL/SEBI/MCA, managing the filing of various periodic returns and ensuring dematerialization of securities and depository compliances are met.
  • Corporate Actions and Filings: Manage corporate actions related to rights issues, preferential allotments, private placements, and ensure compliance with ROC filings, including XBRL filings. Handle statutory and secretarial audits, and manage additional compliance requirements as needed.
  • Regulatory Coordination: Coordinate with NSDL & RTA for the transfer, transmission, and dematerialization of securities. Manage FEMA compliance for ODI/FDI, including the necessary filings.
  • Policy Management and Oversight: Draft and review company policies such as RPT Policy, Code of Conduct, and Vigil Mechanism Policy. Oversee the compliance management of overseas subsidiaries and manage related party transactions.

Qualifications and Skills:

  • Qualified Company Secretary with 2 to 5 years of experience in a listed entity.
  • International exposure in managing foreign subsidiaries and affiliates.
  • Proficient in preparing presentations, including PowerPoint.
  • Comprehensive knowledge of the Companies Act, SEBI Regulations, and other relevant laws.
  • Strong organizational, communication, and liaison skills.
  • Ability to analyze legal provisions and monitor regulatory changes.
  • High level of integrity, professionalism, and attention to detail.
