We are looking for a Mid-Level Company Secretary position at our client place based at Gurgaon. It is a full time position with Competitive salary offered within industry standards.
Roles And Responsibilities
- Report to the chairman and often liaise with board members.
- Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
- Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
- Provide legal, financial, and/or strategic advice during and outside of meetings.
- Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
- Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
- Liaise with external regulators and advisers such as lawyers and auditors.
- Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its
- Ensure compliance with statutory and regulatory requirements
- Manage board meetings and maintain corporate governance standards
- Handle legal matters and regulatory filings efficiently
- Facilitate shareholder communication and relations
- Draft and maintain accurate meeting minutes
- Implement risk management strategies in accordance with company law
Qualifications And Skills
- Solid understanding of Corporate Governance principles
- Expertise in Legal Compliance and Company Law
- Experience in Board Management and Regulatory Filings
- Ability to manage Shareholder Relations effectively
- Proficient in preparing Meeting Minutes and documentation
- Skilled in Risk Management techniques and practices
