We are seeking a highly qualified and experienced Company Secretary with substantial exposure to IPO processes. The successful candidate will ensure the company's compliance with statutory and regulatory requirements and maintain high standards of corporate governance. They will also play a critical role in the preparation and execution of an Initial Public Offering (IPO), liaising with stakeholders, regulators, and legal advisors.
Corporate Governance:- Ensure the company complies with all statutory and regulatory requirements as prescribed under the Companies Act, SEBI regulations, and other relevant laws.
Organize and prepare agendas and minutes for board meetings, committees, and general meetings.- Advise the Board and senior management on corporate governance best practices.
Maintain and update the statutory registers, records, and filings.
- Ensure timely and accurate filing of returns and documents with the Registrar of Companies (ROC) and other statutory bodies.
Legal & Regulatory Compliance:
- Monitor changes in relevant legislation and the regulatory environment, and take appropriate action.
Ensure compliance with SEBI regulations, stock exchange requirements, and other securities laws.
- Draft, review, and negotiate contracts, agreements, and other legal documents.
IPO Preparation & Execution:
- Play a pivotal role in the IPO process, including liaising with underwriters, auditors, legal advisors, regulators, and other stakeholders.
Prepare and submit the Draft Red Herring Prospectus (DRHP) and coordinate with SEBI for approvals.
- Oversee due diligence processes and ensure that all documentation is complete and accurate.
Manage the communication strategy with investors, analysts, and the media during the IPO process.- Post-IPO, ensure compliance with listing requirements, ongoing disclosure obligations, and investor relations.
Stakeholder Management:- Act as a point of contact for shareholders, handling queries and ensuring clear communication.
Assist in the organization of shareholder meetings and manage proxy solicitation.Risk Management:
Identify and mitigate potential risks related to corporate governance and compliance.
- Develop and implement policies and procedures to manage legal and regulatory risks.
Team Management:
- Lead, mentor, and manage the secretarial and compliance team.
Ensure continuous development and training of the team in regulatory and legal matters.
- Key Skills & Competencies:
In-depth knowledge of corporate laws, SEBI regulations, and IPO procedures.
- Proven track record in managing an IPO process from start to finish.
Strong understanding of corporate governance principles and best practices.- Excellent communication, drafting, and negotiation skills.
Ability to manage complex projects and work under tight deadlines.
- High level of integrity and professionalism.
Strong organizational skills with attention to detail.
Qualified Company Secretary (CS) with membership in the Institute of Company Secretaries of India (ICSI).- LLB or equivalent legal qualification is preferred.
5+ years of experience in a similar role, preferably with exposure to IPOs.
- Experience in a listed company is a plus.
