Responsibilities:
As a Company Secretary, the key responsibilities and duties shall include the following
Facilitating the smooth operations, offering assistance to managers, senior-level executives, and co-ordinating with various departments.
Ensuring compliance with various financial and legal requirements, and maintaining high standards of corporate governance in the company.
In-depth knowledge of relevant laws applicable to the company is essential to provide suitable legal counsel when required.
Provide legal, financial, and/or strategic advice during and outside of meetings.
Maintain statutory books, including registers of members, directors, and secretaries.
Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
Liaise with external regulators and advisers such as lawyers and auditors.
Implement processes or systems to ensure good management of the organization.
Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
Convene, conduct and conclude various meetings as required under the Companies Act and prepare minutes, resolutions, notices, etc. and get them executed as required.
Lodge required forms and annual returns with appropriate departments.
Have a knowledge of drafting various commercial and legal agreements and contracts.
Qualifications:
Candidate shall have a Bachelor's degree in accountancy and finance, business and management, and shall be a law graduate.
Good verbal and written communication skills.
Strong administrative skills and an aptitude for using IT software.
Meticulous attention to detail and the ability to work well under pressure.
