Job Overview
We are looking for a skilled and experienced Company Secretary to join our team at GOOD FIVE YES JOB CONSULTANCY. As a Company Secretary, you will play a key role in ensuring compliance with legal and regulatory requirements, as well as providing administrative support to the management. This is a mid-level position requiring 4 to 6 years of experience in company secretarial work.
Qualifications And Skills
- Bachelor's degree in Law, Business Administration, or a related field.
- Proven experience as a Company Secretary, preferably in a similar industry.
- In-depth knowledge of company law, corporate governance, and regulatory compliance.
- Excellent understanding of legal documents and contract drafting.
- Strong organizational and administrative skills.
- Attention to detail and ability to work with confidential information.
- Excellent communication and interpersonal skills.
- Ability to multitask and prioritize tasks effectively.
- Proficiency in MS Office and company secretarial software.
Roles And Responsibilities
- Ensure compliance with legal and regulatory requirements, including preparation and filing of statutory forms and returns.
- Maintain company records and registers, including board minutes, resolutions, and annual filings.
- Assist in drafting and reviewing legal documents, contracts, and agreements.
- Coordinate and support board meetings, including preparation of agendas, minutes, and resolutions.
- Provide administrative support to the management, including scheduling meetings, managing correspondence, and maintaining documentation.
- Stay updated with changes in laws and regulations affecting the company's operations and advise management accordingly.
- Manage the company's corporate governance framework and ensure adherence to corporate policies and procedures.
- Assist in the preparation of annual reports, financial statements, and other company disclosures.
- Collaborate with external counsel, auditors, and regulatory bodies as required.
- Handle any other company secretarial matters as assigned.
