Role Summary: We are seeking a dedicated Company Secretary with 1-3 years of experience to manage corporate governance, compliance, and regulatory affairs for our clients. The ideal candidate will have a practical understanding of company incorporation, fund raising documentation, FEMA and RBI compliance, and corporate governance.
Incorporate new companies and LLPs.
- Assist in fund raising activities (Preferential Issue, Private Placement, Rights Issue, Convertible Notes).
Handle annual and event-based compliance (e.g., Name Change, Object Change, Director Change, Registered Office Shifting, Authorized Capital Increase, Share Transfer, Auditor Compliance, Shareholder Rights Variation, ESOPs, Buyback).- Prepare and convene Board Meetings and Annual General Meetings, including for foreign companies.
Manage and renew regulatory documents (statutory registers, returns, registrations, licenses).
- Assist in statutory audits and provide required documentation for taxation.
Maintain trackers and ensure data integrity and confidentiality.- Provide administrative and regulatory support to Client Services and COSEC teams.
Liaise with statutory bodies (Registrar of Companies, Ministry of Corporate Affairs, RBI, etc.) and Authorized Dealer bankers.
Proficient in drafting agendas, resolutions, minutes, and agreements.
- Strong understanding of compliance concepts and corporate governance.
Excellent communication, time management, and multitasking abilities.- Ability to work under pressure and adapt to new systems and procedures.
Detail-oriented, proactive, and a strong team player with minimal supervision.
