Develop and maintain M&A contract integration playbooks.
Establish contract integration KPIs for each acquisition and measure team performance against those KPIs.
Educate and advise internal stakeholders at all levels with respect to legal issues and risk management in relation to contract integration.
Continuously identify and implement improvements and best practices to enhance the efficiency and effectiveness of the contract integration function.
Collaborate with the team as well as Sales, Finance, and other stakeholders to design and implement a sound and pragmatic approach for identifying, prioritizing and addressing problematic contract terms in acquired company contracts.
Oversee the design and implementation of contract templates for acquired company products and services to align with Progress contracting practices.
Lead the team in the performance of additional responsibilities, as required, in the area of pre-acquisition contract diligence, including:
Review and assessment of target s contract management function, highlighting key differences.
Identification of contracts with common suppliers providing the same products and services, highlighting consolidation opportunities
Identification of contracts requiring critical attention, such as deadlines for a notice to a supplier about contract renewal or termination intentions
Identification of key and important contracts with potentially problematic clauses, such as: assignment limitations, change of control consequences, exclusivity rights.
Your background:
Law degree from a reputable university.
Minimum of 5 years of relevant experience as a commercial lawyer, preferably in the IT industry
In-house experience in a fast-paced, business and results-oriented and team-based environment.
Will consider candidates with fewer than 5 years of legal experience, provided they have a minimum of 2 years of in-house experience in the IT industry.
Experience designing and implementing M&A related contracts integration strategies.
Experience leading and managing projects to build consensus on complex business issues.
Knowledge of public company controls and procedures.
