Managing a set of entities for clients imparting Corporate Secretarial Services
Facilitate incorporation of Company and LLPs for clients
Advisory on FEMA on various transactions
Convening and organising Board Meetings / Shareholder meetings for client & Vistra entities
Efficiently and effectively preparing and finalizing Agenda, Notes to Agenda, Minutes of Board, General and various Committee Meetings for client & Vistra entities
Follow up on actions arising out of Board & Committee Meetings
Liasoning with client Board of Directors, Auditors and other internal teams for completion of assigned task
Tracking Compliances through the Compliance Calendar and ensuring completeness as per the stipulated timelines
Ensuring compliance to all rules and regulations of ROC including various annual filings and representations
Expertise in all aspects of the Company law, legal and statutory compliances
Assist in advising on SEBI and FEMA related laws and compliances applicable to the Company
Maintenance of statutory books and registers under the Companies Act, 2013 and rules made thereunder
Key requirements:
At least 0-3 years Company Secretarial experience; Preferably from client service providing background.
Any bachelors degree and Qualified CS
LLB will be an added advantage
Ability to effectively execute tasks
Ability to think outside of the box, to challenge status quo, but to do so diplomatically and collaborative manner
Strong communication and influencing skills; collaborative and a team player
Culturally sensitive and experienced in dealing with multiple nationalities, business cultures
Proactive and flexible with a client service orientated attitude
Ability to deal with ambiguities and work within ill-defined boundaries
Ability to understand and interpret legal/regulatory concepts, attention to detail with the ability of multi-tasking.
