Job title: Asst. Manager - Secretarial
Reporting to: Company Secretary
Location: Mumbai
Roles and Responsibilities:
1) Handling matters connected with Meetings of Shareholders and Board of Directors and other Internal Meetings of the Management;
2) Assisting in the work related with Fund raising / Amalgamation / Mergers / Demergers, etc.;
3) Responsible for compliance as required to be performed under the Companies Act, 2013, SEBI Listing Regulations, SEBI Act and SEBI Regulations, FEMA, etc;
4) Incorporation of Companies and filing various forms and documents with ROC under MCA-21
5) Co-ordination, monitoring and compliance with various Laws applicable to the Company and its associate companies; and
6) Liasoning with RTA, Stock Exchanges, Depositories, Banks, other Regulatory Authorities for Secretarial and Legal matters.
7) Drafting & Vetting of legal documents / agreements including Memorandum of Understanding for entering into various business engagements/ ventures.
8) Drafting of minutes for Annual General or Shareholder meetings, Board of Directors meetings;
9) Drafting corporate documents for notarization, registration and notification; or drafting agreements and resolutions with various authorities such as Corporate Registrars, etc.;
10) Keep track of amendments to various laws applicable to the Company, in particular, the Companies Act, 2013, SEBI Listing Regulations, SEBI Act and its Regulations, FEMA, etc;
Performance Skills :
Excellent multitasking and analytical skills and ability to manage multiple assignments and resources at the same time.
Interpersonal, organizational, communication and IT skills.
Good eye for detail and ability to prioritize time critical and conflicting tasks.
Ability to communicate clearly and confidently with clients and colleagues both verbally and in writing.

Technical skills
Qualified Company Secretary with 2-3 years post qualification experience. Candidate with graduation in law will be an added advantage.

Should have flair for secretarial & legal research and negotiation skills.
Excellent relationship management and communication skills.
Strong naturally spoken English.
Strong time management and organizational skills.
